RR Donnelley to buy financial printing business From Canadian Bank Note Co. in cash deal.

R. R. Donnelley & Sons Co. (NYSE:RRD), a major U.S. commercial printer, has agreed to acquire Canadian Bank Note Co.'s financial printing business that includes operations in Toronto and Montreal.
Donnelley announced Wednesday it had signed a definitive agreement to buy the financial printing assets from Canadian Bank Note, a private company that prints currency, passports, visas, lottery tickets, postage and related products.
Financial terms of the all-cash transaction were not revealed. The deal is slated to close this month.
"Our Canadian and global clients will be delighted by this important expansion of our presence in Canada," said Tom Juhase, president of RR Donnelley's financial services business.
"Canadian Bank Note's regulatory expertise and experience will enhance RR Donnelley's comprehensive resources and worldwide reputation for outstanding service."
Dan McNeil, a sales vice-president for Canadian Bank Note who will be joining Donnelley, said the transaction "will be very beneficial to the domestic and cross-border capital markets communities in Canada as they gain direct access to RR Donnelley's complete global capabilities."
Jons Besch, a Donnelley senior vice-president, said "this acquisition gives us a strong and immediate geographic presence in Canada's fast growing business and financial sectors."
"As an industry leader in financial print and compliance solutions for the capital markets and investment fund industries, we quickly will create value for our clients."
RR Donnelley's financial services business operates around the world and the company is a leader in regulatory compliance filings in Asia, Europe and the U.S., with a transactional track record that includes many of the world's biggest and most complex mergers, acquisitions, equity and debt offerings, and IPOs.
Canadian Bank Note went private in 2004 and has its main operations in Ottawa, Toronto and Montreal.
Besides its printing businesses, Canadian Bank Note also produces equipment such as passport and card readers and lottery terminals. In addition, the company designs software systems sold around the world.
